Terms of Service
Last updated: 2026-05-09. These terms apply to all engagements unless overridden by a signed Master Service Agreement.
How we work, how we deliver, who owns what.
Engagement: work begins after a fixed-fee SOW is countersigned and the deposit is paid (50% on signature, 50% on delivery, unless agreed otherwise).
Ownership: on full payment, you own the deliverables outright (work-for-hire). We retain rights to portfolio use unless project is marked confidential.
Revisions: two rounds of revisions per major deliverable are included. Additional rounds are scoped at standard hourly rates.
1 · Engagement
Each project is governed by a written Statement of Work (SOW) signed by both parties. The SOW will specify scope, deliverables, calendar, fee, and any project-specific terms. These terms apply by default and are superseded only by an MSA or specific SOW clause.
2 · Payment
Standard terms are 50% on signature, 50% on delivery. Larger projects may be split into milestone payments. Invoices are due net 14 days. Late invoices accrue 1.5% per month.
3 · Intellectual property
All deliverables are work-for-hire. Upon receipt of full payment, all IP rights in the final deliverables transfer to the client, with the following exceptions: (a) third-party assets (textures, models, sounds) which are sublicensed; (b) DARK retained tooling used in production; (c) the right for DARK to use the deliverables for portfolio promotion unless the project is contractually confidential.
4 · Confidentiality
DARK will keep all client information confidential and will sign a project-specific NDA on request before exchanging sensitive material. Confidential project work is not added to the public portfolio.
5 · Revisions and scope changes
Two rounds of revisions per major deliverable are included. Material changes to the scope or calendar require a written change-order with revised fee and timeline.
6 · Limitations
DARK's total liability for any project is limited to the fee paid for that project. We are not liable for indirect, consequential, or lost-profit damages.
7 · Governing law
Unless otherwise specified in the SOW, these terms are governed by the laws of the State of New York, and disputes are resolved in the state and federal courts located in New York County.
